GRID Warranty Policy
Module Warranty Terms & Condition
1. Five-Year Warranty for Materials on PV Module Materials on PV module are warranted within five(5) years by GRID CO., Ltd.(“GRID”). If Name of customer (“Customer”), within this warranty period, finds out any non-conformity of materials on PV module under system operating according to the GRID’s installation instructions(special transactions such as off-grade products, etc. are exemption to this warranty terms & condition), GRID shall either repair or replace non-conformity PV modules followed by the terms of its “Return Policy”.
2. Ten-Year Warranty for Power Output of PV Module Besides five-year warranty for materials on PV module, GRID also provides the PV module output warranty as follows:
(1) Within ten(10) years after shipment, at least 90% of the nominal power output rating (Pmpp +5% to -5%) shall be able to produce by PV module installed according to the GRID’s installation instructions.  (2) Within twenty (20) years after shipment, at least 80% of the nominal power output rating (Pmpp +5% to -5%) shall be able to produce by PV module installed according to the GRID’s installation instructions.20 The judgment for the output power of the product shall be conducted by ESTI at STC (Standard Test Condition). If the product is in breach of the power output warranty as above, GRID will, at its judgment, either repair or replace the product followed by the terms of its “Return Policy”.
3. Proper Operating Conditions The warranty for PV module will be exempted when the system is installed or operated without according to the GRID’s installation instructions. In addition, reasons will also cause the warranty exemption if as follows:
3.1 Any modification for the PV module without the agreement by GRID. 3.2 Inexorable reasons such as fire, volcanic eruption, war, violent disorder, earthquake, flash lightening, seawater tide, flood, pollution, un-proper ground connection or the environments not conformed to the IEC specification. 3-3. Issues from grid connect with commercial system, such as interference, voltage variation, other issue from connecting. 3-4. Modules are damaged from intentional or unintentional culpa of Customers or third parties. 3-5. Naturally occurred cases, such as scratches, pollution, mechanical damage, degradation, discolor or other issues appeared, but not affecting the output power or mechanical strength of modules after shipping. 4. Return policy
4.1 If the modules show the defect, Customer shall notify the contact window of GRID with following information: a) Module type b) Serial number of module c) Detailed explanations of module defect 4.2 Repair, replacement or providing additional modules shall be free of charge when the modules are found to be in breach of the specifications according to both GRID and Customer’s mutual judgments such as non-conformity of materials on PV module, the defect of products or appearance defect or output power loss of modules. 4.2.1 If GRID and Customer are unable to reach agreement for a solution to the product defect, the judgment from a well-known third party agreed by both GRID and Customer should be complied. 4.3 Repair, replacement or providing additional modules shall be according to the warranty items. The GRID hereby disclaims any other responsibility or liability than “Module Warranty Terms & Condition” in connection with MODULES. 4.4 After re-inspection of materials on PV module by GRID or re-conformation the output power by ESTI, if there is not any defect and lower output power than warranty, the modules will be shipped back to the Customer, and Customer shall be responsible for all the transportation costs. 4.5 Customer or the third party shall maintain the module for Customer’s customer according to the GRID’s installation instructions if GRID requests the Customer maintain the modules. 4.6 If GRID requests Customer to replace the Modules, and Customer has modules available in stock, then Customer shall replace the modules for the consumer first and GRID as GRID will also replace the modules for Customer afterwards. 4.7 For output power re-conformation, the measurement shall be conducted by ESTI, and the modules shall be tested with clean incident surface of modules under IEC-61646 method at STC condition (AM1.5G standard light source 1000 W/m^2, temperature of module: 25℃).
5. WARRANTIES GRID hereby warrants the modules that Customer purchased as below : (a) all Modules delivered to Customer will be manufactured in compliance with all applicable JAPAN laws and regulations; (b) all Modules delivered to Customer will comply with the Specifications; (c) GRID has good title to any Modules sold hereunder (free and clear of any encumbrances, claims, security interests or other conflicting right of any kind) which title shall pass to Customer as provided herein; (d) all Modules sold to Customer hereunder will be free from defects in material, workmanship and design at the time of delivery and for a period of 5 years after delivery; (e) all Modules sold to Customer shall be in conformed with Module Warranty Terms and Conditions hereto. Also, GRID will send the packing list including flash report of each module in Excel format or equivalent by e-mail 24 hours prior to each shipment. GRID makes no other expressed or implied warranties in respect of the Modules supplied hereunder.
6. QUALITY ASSURANCE Quality Control Evaluation and Replacement. (a) Customer’s duty to inspect and object upon the arrival of the Modules at the Point of Destination (“Arrival”): (i) Customer shall check qualities of the carton boxes upon the Arrival of the modules for any visible shipping damages and make detailed record if any discrepancy and objection on the packing slip and have the carrier countersign such discrepancy and objection. (ii) Customer shall immediately conduct inspections on the Modules no later than 48 hours upon the arrival date. If any module fails to conform to the specifications or shall has been shipped under conditions which do not comply with the provisions of this Agreement, or short of quantity (collectively, “Defect”), Customer shall notify GRID either by fax or e-mail of any Defect within fifteen(15) days after the Arrival (“Objection Period”). The notice must clearly specify the information in accordance with clause 4.1 of the alleged Defect and include all relevant supporting evidence thereof. (iii) In addition to provide written notice of alleged Defect to GRID, Customer is responsible to send samples to GRID’s designated point for verification and all transportation charges should be at GRID’s cost. (iv) Customer shall make the alleged Defect available for GRID’s inspection at the Point of Destination. Such inspection may also be conducted by the representative as designated by GRID within thirty (30) days after GRID receives written notice for any alleged Defect product from Customer. Any objection to Defect by Customer shall be made in accordance with this section.
(v) If Customer does not raise objection to Defect within the Objection Period, the Modules shall be deemed as accepted by Customer without any Defect. [This clause (v) shall not apply to any Defect that is maliciously made by the GRID.] (vi) Notwithstanding the above (v), Customer shall be entitled to the rights as provided under the Module Warranty Terms & Condition hereto. (b) Upon the notification of the Defect in accordance with Section 6.1(a) of Sales and Purchase Agreement, GRID shall, at it discretion, elect to either repair such Defect or supply a replacement delivery, free of charge, within sixty(30) days upon the receipt of written notice from Customer. Customer shall, at the request of GRID, return the same to GRID, the same date that the replacement delivery is dispatched by GRID. (c) After GRID provides such assurance at Customer’s request, Customer and GRID shall continue to fulfill their respective obligations under this Agreement and the Purchase Order(s) with good will.
